In the recent decision of Grosvenor Orlando Associates v. HCP Grosvenor Orlando LLC, Civil Action No. 7246-VCG (Del. Ch. June 26, 2013), Vice Chancellor Glasscock determined the parties’ cross-motions for judgment on the pleadings.  In denying the motions, the Court ruled that the key portion of the underlying operating agreement was ambiguous, and therefore issues of material fact remain for the Court’s adjudication.  The Court further allowed the parties to supplement the record through discovery to provide clarification of the parties’ intent.
