On November 29, 2011, the shareholders of Pharmasset, Inc. filed a class action complaint against the company’s board of directors for alleged breach of fiduciary duties arising out of the board’s attempt to sell the company to Gilead Sciences, Inc.  The counts alleged are: (i) breach of fiduciary duties against all individual defendants; and (ii) aiding and abetting against Pharmasset and Gilead.    The case is captioned Michael Diana v.
